Proceeds are earmarked for growth: completing the staged buyout of Vetor Editora in Brazil ($7.12 million in deferred consideration), executing the potential call option by September 2026 to acquire the remaining stake of Chile's Adipa Holding S.p.A. for a pre-agreed Enterprise Value of $9.04 million, and funding the Pearson LATAM rollouts.
